Sales & Delivery Terms

These Terms govern the provision of professional services by DTN ECOM CO., LTD to its clients, unless superseded by a written master services agreement.

1. Services

DTN provides e-commerce strategy, design, development, integration, support and analytics services as described in a mutually agreed Statement of Work ("SOW").

2. Engagement model

Engagements may be fixed-price, time-and-materials, or retainer. Each SOW specifies scope, deliverables, timeline, team, acceptance criteria and pricing.

3. Fees & invoicing

Fees are as set out in the SOW. Retainers and sprints are invoiced monthly in advance; fixed-price engagements are invoiced against milestones. Payment terms: net 30 from invoice date, unless otherwise agreed.

4. Intellectual property

On full payment, the Client owns custom deliverables created for them under an SOW. DTN retains rights to pre-existing IP, tools, methodologies and reusable components. Third-party / open-source components carry their own licences.

5. Confidentiality

Each party agrees to keep the other's confidential information in strict confidence, using at least the same level of care it applies to its own.

6. Warranties & liability

DTN warrants that services will be performed in a professional manner by suitably qualified personnel. Liability is limited to fees paid in the preceding 12 months, and neither party is liable for indirect, consequential or special damages.

7. Acceptance & change

Deliverables are accepted per the SOW. Scope changes follow a documented change-request process, with impact on time and cost agreed in writing.

8. Termination

Either party may terminate for material breach with 30 days' written notice and opportunity to cure. Retainer engagements may be terminated on 60 days' notice. Pro-rated fees remain payable.

9. Governing law

These Terms are governed by the laws of Vietnam, with exclusive jurisdiction of the competent courts of Hanoi, unless otherwise agreed.
